2. Project and Transaction Policy
"Project" means a collaboration unit created for an IP Holder and Brand Partner to collaborate. "Transaction" means an agreement concerning use of works, rights, or services between an IP Holder and Brand Partner in exchange for monetary consideration, including licensing, collaboration, and other commercial forms.
2-1. Projects
2-1-1. Overview
Projects are defined by collaboration purpose, transaction type, conditions, period, and other details, and are operated as either 1:1 inquiry-based projects or Matchups.
2-1-2. Project Types
| Type | Definition |
|---|---|
| 1:1 inquiry-based project | A 1:1 collaboration project initiated when a Brand Partner identifies a specific IP through search and directly contacts the IP Holder |
| Matchup project | A Brand Partner-led collaboration project in which the Brand Partner publicly registers requirements and IP Holders apply with their IP. After selection is complete, 1:1 messaging starts automatically and the collaboration proceeds in the same way as an inquiry-based project |
2-2. Transaction Types
2-2-1. Overview
Transaction types refer to the actual collaboration models conducted within projects. They include traditional licensing, product production, marketing use, design provision, and other commercial collaboration models that may occur on the Platform.
The Company applies a "prepayment and milestone escrow" structure to all transaction types to support trust-based transactions. The agreement is deemed concluded when payment is completed. The contract period begins on the payment date, and the end date is selected by the transaction parties in the calendar.
| Stage | Use and Role |
|---|---|
| 1:1 inquiry | The Brand Partner selects the desired transaction type when contacting an IP Holder so the IP Holder can immediately understand purpose and scale |
| Matchup registration | The Brand Partner defines the IP usage purpose required for the project |
| IP registration | The IP Holder sets the available scope of IP usage rights in advance and selects collaboration fields when entering activity history |
2-2-2. Main Transaction Types
| ID | Type | Description |
|---|---|---|
| TRD-1 | Product manufacturing licensing (royalty type) / Merchandising License | Commercial use rights to manufacture, distribute, and sell physical or digital products using IP. Scope is limited by product category, region, period, and other contract terms. Often long-term. The Brand Partner pays 100% to the Platform; 100% is settled within two business days after the Brand Partner clicks the approval button. If 14 days pass without Brand Partner response after the approval button becomes active, settlement is automatically completed. Platform brokerage fee is 0% for Members using Inabooth PRO/BIZ, subject to promotional change |
| TRD-1-(1) | Additional running royalty | Brand Partner and IP Holder share royalty reports in chat. If additional royalties arise, the IP Holder creates a new payment card through the payment request button based on chat agreement. The Brand Partner pays, the amount is held in escrow, and final settlement is paid to the IP Holder within two business days |
| TRD-2 | Short-term merchandise collaboration (fixed-fee type) / Marketing Collaboration Campaign | Short-term marketing or branding collaboration using IP for brand image and awareness. Use may include advertising videos, print ads, campaign pages, limited packaging, and similar uses. The Brand Partner pays 100% to the Platform; 100% is settled within two business days after approval, or automatically after 14 days without response once the approval button is active |
| TRD-3 | Space-use license (events, exhibitions, pop-up stores) | Offline use of IP for events, exhibitions, pop-up stores, photo zones, on-site banners, temporary on-site merchandise, and similar purposes. The Brand Partner pays 100% to the Platform; 100% is settled within two business days after the Brand Partner clicks the approval button, or automatically after 14 days without response once the approval button is active |
| TRD-4 | Online advertising and promotion collaboration | Use of IP in SNS, websites, online ad creatives, and other online promotional channels. The Brand Partner pays 100% to the Platform; 100% is settled within two business days after the Brand Partner clicks the approval button, or automatically after 14 days without response once the approval button is active |
| TRD-5 | Purchase for resale | Purchase of already produced IP licensed products for resale through online commerce or offline distribution. The Brand Partner pays 100% to the Platform; 100% is settled within two business days after the Brand Partner clicks the approval button, or automatically after 14 days without response once the approval button is active |
2-2-3. Transaction Closing and Contract Formation
All projects using one of the transaction types above are converted into legally effective contracts through the following process.
- The transaction type is first selected by the Brand Partner during inquiry or Matchup registration.
- Based on the inquiry form, both parties agree on specific contract conditions through 1:1 chat.
- The IP Holder sends a payment request specifying confirmed transaction terms such as MG, royalties, and usage period.
- Additional negotiated matters, such as SNS promotion support or additional asset production, are entered in the other details field of the payment request.
- When the Brand Partner completes payment, a digital contract takes effect under the Terms of Service and transaction conditions.
- Contracts concluded within the Platform have the same legal binding effect as ordinary licensing agreements according to the parties' agreement.
- Progress and settlement after contract formation follow the settlement flow defined for each transaction type.
2-3. Matchups
2-3-1. Matchup Registration and Review Policy
Matchups are paid services charged for each individual registration regardless of membership subscription status. Normal review and registration begin when payment is completed at the final registration step.
When registering a Matchup, the Brand Partner must faithfully enter core project details, including brand name, collaboration overview, budget, royalties, and other essential information.
Matchups approved through operational review are officially published and exposed on the Matchups page within the Inabooth Platform.
Detailed billing rules follow the "Matchup Registration Fee" section of Chapter 4, Billing Items and Pricing Policy. Review standards and detailed guidance follow Chapter 5, Content Management and Operation Policy. Refunds of paid registration fees follow the standards defined in Chapter 4, Billing Items and Pricing Policy.
2-3-2. Matchup Operation Process
Published Matchups remain in recruiting status during the recruitment period set by the Brand Partner. During that period, IP Holders may apply, but applicant selection and chat functions are not activated.
Beginning on the recruitment closing date, the Brand Partner receives a 14-day applicant selection period. The Brand Partner may freely select applicants without a numerical limit or may choose not to proceed with selection.
If the Brand Partner finally selects an applicant during the selection period, the selected applicant is immediately notified through the system.
The final end point of a Matchup is the sum of the configured recruitment period and the 14-day selection period. When that period passes, the Matchup is automatically marked ended regardless of whether selection actually occurred.
When a Matchup finally ends, all applicants who were not selected receive an automatic Matchup result notification in bulk.
2-3-3. Application Eligibility and Information Access
Any IP Holder Member with IP registered on the Inabooth Platform may apply to a Matchup.
Budgets and royalty conditions included in Matchups are treated as sensitive information containing Brand Partner strategic business plans. To prevent indiscriminate leakage and ensure transaction sincerity, the Platform grants differentiated information access. Sensitive information is disclosed only to IP Holder Members whose identity and rights relationship have been verified through completion of identity verification and final registration of at least one IP.
2-4. Transaction Payment and Settlement Policy
2-4-1. Payment and Deposit
- The Brand Partner must prepay the agreed transaction amount using payment methods provided by the Platform.
- For safe transactions, the Platform deposits the paid amount through an external payment network (PG) or designated account until settlement conditions in Section 2-2 are satisfied.
2-4-2. Settlement Start and Payment Principles
- Settlement begins when the approval action, passage of a specified period, or other settlement event defined for each transaction type is confirmed.
- Settlement is generally paid within two business days from the day settlement requirements are satisfied.
- To prevent transactions from remaining unresolved due to delayed approval by one party, the Platform may automatically confirm settlement when the transaction-type deadline or other automatic settlement condition is satisfied.
2-4-3. Payment Evidence and Details
- When transaction payment is completed, transaction statements and settlement statements may be checked and downloaded at any time in the project chat.
- The Company directly issues tax invoices for all fees and charges received by the Company.
- Tax invoices for collaboration payments between IP Holders and Brand Partners are issued directly between the transaction parties. The Platform provides functions to deliver information needed for tax invoice issuance.
3. Paid Add-on Service Policy
This Chapter defines the scope and operational principles of paid add-on services other than subscription services and Matchup registration.
